Terms of Use
These Terms of Use (“Terms”) govern your access to and use of the services provided by DealFI Services LLC (“DealFI”), a virtual finance and insurance (F&I) solution. By accessing or using DealFI, you acknowledge that you have read, understood, and agree to be bound by these Terms and any other agreements or policies incorporated by reference.
DealFI is not a standalone platform. It operates as a virtual F&I solution and utilizes other technology platforms, data providers, and service integrations to perform its services. You are responsible for ensuring compliance with the terms and privacy policies of those third-party services when using DealFI.
1. DEFINITIONS
• “DealFI” refers to the virtual F&I solution operated and provided by the company.
• “User” or “you” refers to any person or entity that accesses or uses DealFI.
• “Authorized User” means any user permitted to access DealFI under a valid agreement with the company.
2. USE OF THE SERVICE
Your use of DealFI must comply with all applicable federal, state, and local laws and regulations. You may only access DealFI if you are:
• An employee or agent of a dealership, financial institution, credit union, or third-party administrator that has a valid agreement with the company.
• Authorized to use DealFI through a third-party provider or integration partner.
By accessing DealFI, you represent and warrant that:
• You are the person assigned to your login credentials.
• You will keep your credentials confidential and not share access.
• You will not use DealFI for unauthorized, unlawful, fraudulent, or malicious purposes.
3. SERVICES
DealFI provides access to a suite of virtual F&I services, which may include:
• Electronic contracting and documentation delivery
• Access to lender programs and underwriting criteria
• Credit application processing
• Integration with valuation, compliance, insurance, and fraud tools
• Use of BorrowerCheck to identify red flags and fraud indicators
DealFI relies on external platforms and integrations to perform its services. The company disclaims responsibility for service interruptions, data loss, or access issues related to third-party providers.
4. DATA HANDLING & CONFIDENTIALITY
DealFI processes sensitive consumer, lender, and dealer data. You agree to:
• Comply with all applicable privacy and data protection laws.
• Not disclose or misuse any personally identifiable information (PII), credit data, or proprietary information obtained through the services.
• Only use DealFI for the purpose of evaluating and processing F&I transactions.
You must implement commercially reasonable security protocols, including use of secure networks and encryption.
5. INTELLECTUAL PROPERTY
All technology, data, designs, and intellectual property used or provided through DealFI are owned or licensed by the company or its partners. You may not:
• Reverse engineer, decompile, or modify any part of the service.
• Create derivative works from any content or data received through DealFI.
• Use any DealFI materials for marketing, resale, or any competitive purpose.
6. THIRD-PARTY SERVICES
DealFI incorporates data and tools from third parties, including but not limited to:
• Credit bureaus
• Valuation tools
• Insurance quote engines
• Identity verification services
• Compliance and fraud detection services
Use of these services is governed by the third party’s respective terms. DealFI does not warrant the accuracy, completeness, or availability of third-party content.
7. BORROWERCHECK TERMS
Use of BorrowerCheck, a fraud detection service provided through DealFI integrations, is subject to additional terms. BorrowerCheck returns red flag indicators based on provided consumer data. Users must:
• Use BorrowerCheck only for fraud prevention purposes
• Not store or reuse BorrowerCheck reports
• Not use the output to make adverse lending decisions
• Acknowledge that the output is not a consumer report and does not replace due diligence
8. WARRANTIES & DISCLAIMERS
DealFI is provided on an “as-is,” “as-available” basis. The company disclaims all warranties, including but not limited to:
• Fitness for a particular purpose
• Non-infringement
• Accuracy of data or output
The company does not guarantee uninterrupted access or error-free service. You assume all risk of using DealFI and its third-party integrations.
9. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
• The company shall not be liable for any indirect, incidental, punitive, or consequential damages.
• The company’s liability to you shall not exceed the amount paid for use of the service in the past six (6) months.
• Any claim must be brought within twelve (12) months of the event giving rise to it.
10. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless the company, its affiliates, officers, and partners from any claims, losses, or liabilities arising from:
• Your misuse of DealFI
• Your violation of these Terms or applicable law
• Your use or disclosure of any data obtained through DealFI
11. TERMINATION
The company may suspend or terminate access to DealFI at any time, with or without notice, for any reason, including suspected misuse or breach of these Terms.
Upon termination, you must:
• Cease all use of DealFI and destroy any confidential materials obtained
• Return or certify destruction of any proprietary information
12. GOVERNING LAW & JURISDICTION
These Terms shall be governed by the laws of the State of Georgia, without regard to conflict of law principles. Any legal action shall be brought exclusively in the courts located in Forsyth County, Georgia.
13. CHANGES TO TERMS
We reserve the right to amend these Terms at any time. Changes become effective upon posting to the website or service portal. Continued use of DealFI constitutes acceptance of the revised Terms.
